The Florida annual report is a document your business will file each year to confirm or update your business information on the state’s records. This includes management or membership information, your company’s principal office address and mailing address, and information about your Florida registered agent.

This document is filed with the Department of State and is kept in the Division of Corporations’ records, which means it’s also freely available to the public on Florida’s Sunbiz website.

What you will need:

  • Florida Department of State Document Number
  • Federal Employer Identification Number (if applicable)
  • Valid credit/debit card, check, money order or Sunbiz E-File Account

Your Document Number is provided on the electronic or postcard Annual Report notice sent by the Division of Corporations. You can also find your number by looking up your business in the Department of State records online.

If you do not have a FEIN because your company is not required to have one, then this will not be applicable to your filing.

You must pay your Annual Report fee at the time of filing. There are no additional LLC taxes to pay.

What Can I Change on the Annual Report?

An LLC Annual Report allows the Department of State to keep accurate records for every business entity registered in the state. The purpose is to provide your Florida LLC the opportunity to update these records.

You can update and change any of the following information:

  • Names and addresses of members or managers
  • Registered agent name and address
  • Principal office addresses
  • Federal Employer Identification Number

Failure to File an LLC Annual Report

An LLC that fails to file by the May 1 deadline will be assessed a $400 late fee. This fee cannot be waived. If an LLC continues to fail to file by the third Friday of September, the Division of Corporations will administratively dissolve the LLC.
